1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "Customer", or "Owner") and MeroRestro ("we", "us", "our"). By creating an account, clicking "I agree", or using any part of the MeroRestro platform, you agree to be bound by these Terms and by our Privacy Policy.
If you are accepting these Terms on behalf of a restaurant or company, you confirm that you have authority to bind that entity.
2. Definitions
- Service — the MeroRestro web application, customer-facing QR menu, mobile dashboards, and any associated APIs, hardware, and support.
- Owner Account — the master account that controls a restaurant on MeroRestro.
- Staff Account — a sub-account created by an Owner for a waiter, kitchen worker, or manager.
- Plan — the subscription tier you purchase (Basic, Business, Pro, or Custom), along with any hardware add-ons.
- Customer Data — all data you and your staff enter into the Service, plus orders placed by your diners.
3. Account & Eligibility
- You must be at least 18 years old and capable of forming a binding contract.
- You must provide accurate, current information when creating an account and keep it updated.
- You are responsible for keeping your password and your staff's passwords confidential.
- You are responsible for every action taken under your Owner Account and any Staff Accounts you create, whether or not you authorised it.
- Notify us immediately if you suspect unauthorised access.
4. Free Trial
New Owner Accounts receive a 7-day free trial with access to core features. The trial begins when you sign up and ends automatically after 7 days unless you upgrade to a paid Plan. We do not require a credit card to start the trial and we do not auto-charge you when the trial ends. If you do not upgrade, your account will be blocked from new orders until you purchase a Plan, but your data is retained for 60 days so you can resume by upgrading.
5. Subscription & Billing
5.1 Plans & pricing
Current Plans, prices, and included features are listed on the pricing page. We may change prices at any time, but a price change will not affect a Plan you have already paid for during its current term. We will notify active subscribers at least 30 days before any renewal price change.
5.2 Term
Paid Plans are billed for a 12-month term unless we explicitly agree otherwise in writing. The term begins on the date we confirm your payment.
5.3 Payment
We accept payment by bank transfer, e-wallet (eSewa, etc.), or other methods listed at checkout. After you make a payment you must upload a screenshot of the transfer for our team to verify. Your subscription activates once we verify the payment, usually within one business day. Until verification, your account remains on the free trial.
5.4 Custom plans
If you purchase a Custom Plan, the items you select in the configurator are recorded on your invoice. We will deliver any hardware add-ons (e.g. thermal printers, NFC stands, tablets) within 14 business days of payment verification, to the shipping address you provide. Hardware is shipped from Kathmandu unless we agree otherwise.
5.5 Renewal
Plans do not auto-renew. We will email you a renewal reminder at least 14 days before your Plan expires. If you do not renew, your account behaves the same way as the end of the trial period (orders blocked, data retained for 60 days).
5.6 Taxes
All prices shown include applicable VAT (currently 13% in Nepal) unless we state otherwise. If you are tax-exempt or need a PAN-coded invoice, contact us before payment so we can issue the correct document.
6. Refunds
- Software-only subscription: If you cancel within 7 days of payment verification and have placed fewer than 50 orders through the system, we will refund 100% of the software portion of your payment. After that window, software fees are non-refundable.
- Hardware: Unused, unopened hardware can be returned within 7 days of delivery for a refund minus shipping and a 10% restocking fee. Used or installed hardware is non-refundable.
- Refund requests must be sent in writing to sales@merorestaurant.com.
- Approved refunds are paid back through the original payment method within 10 business days.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, including tax evasion, money laundering, or selling prohibited items
- Resell, sublicense, or white-label the Service without our written permission
- Attempt to reverse-engineer, decompile, or scrape the Service beyond what your subscription allows
- Upload viruses, malware, or any code designed to disrupt the Service
- Attempt to bypass authentication, access another restaurant's data, or impersonate another user
- Send spam, phishing, or unsolicited bulk messages through any MeroRestro feature
- Use automated systems (bots, scripts) to overload our servers or APIs
- Misrepresent your identity, your restaurant, or your relationship to the customer placing an order
8. Your Data
You own your Customer Data. We claim no ownership over your menu, your orders, your finance entries, or your staff and customer records. You grant us a limited, non-exclusive licence to host, process, and display that data only as needed to provide the Service to you.
We will not use your Customer Data to train AI models, sell it to third parties, or share it for marketing purposes. See the Privacy Policy for full details.
You are responsible for the legality of the data you upload — including making sure you have the right to upload any images, menu descriptions, or staff information.
9. Service Availability
We aim to keep MeroRestro available 24/7, but we do not guarantee uninterrupted service. Maintenance, internet outages, third-party provider failures (hosting, payment gateways), and force-majeure events can cause downtime. We will give reasonable notice for planned maintenance.
10. Suspension & Termination
10.1 By you
You may stop using the Service at any time. You can request account deletion by emailing us. We will erase your personal data within 30 days, except where we are legally required to retain certain records.
10.2 By us
We may suspend or terminate your account, with or without notice, if:
- You breach these Terms or the Acceptable Use rules
- Your payment is overdue by more than 14 days after expiry
- We believe your account is being used to harm others or our infrastructure
- We are required to do so by law
If we terminate for non-payment, we will keep your data for 60 days so you can recover it by paying. After that, we may permanently delete it.
11. Warranty Disclaimer
To the maximum extent permitted by Nepali law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that it will meet every business requirement you may have.
12. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Service.
- Our total aggregate liability for any claim relating to the Service in any 12-month period will not exceed the amount you actually paid us during that period for the affected Plan.
- Nothing in these Terms limits liability that cannot be limited under Nepali consumer-protection law.
13. Indemnity
You agree to indemnify and hold MeroRestro, its founders, employees, and partners harmless against any claim, demand, loss, or expense (including legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) your violation of any law; or (c) any third-party claim that your Customer Data infringes their rights.
14. Governing Law & Disputes
These Terms are governed by the laws of Nepal. Any dispute will first be attempted to be resolved informally between us. If that fails, the dispute will be submitted to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date at the top, notify active account holders by email, and post a dashboard banner at least 14 days before the change takes effect. Continued use of the Service after the change takes effect means you accept the new Terms. If you do not agree, you may cancel your account; if you have paid for an active Plan, we will refund the unused portion on a pro-rata basis.
